Jonathan Consulting conducted the sale of numerous enterprises. Transactions have ranged from $500k to over $15M. It takes some time, effort, and planning to ready a company for sale. Prior to sale, we might undertake value enhancement initiatives to improve the worth of business and derive a higher selling price:

  • Disposition of non-core assets,

  • Improvement of performance for certain segments,

  • Balance sheet and asset cleanup,

  • Disposition of certain liabilities or other problems,

  • Preliminary discussion with your tax accountant and legal counsel.

Perhaps the most important activity in the process is building a list of suitors for your company. We use several sources to complete the list, and it does take time and effort to make sure the list is complete. In all situations, all buyers must execute an NDA before even knowing the name of your enterprise.

When we are ready to show the company to potential suitors, a comprehensive Confidential Information Memorandum (CIM) is prepared. We always prepare a quality presentation that enables a buyer to gain confidence in the transaction and make confident decisions. The CIM is updated monthly until a buyer has committed to close. During the process, JCLLC will provide all info to the suitors, review the suitors’ financial capacity and obtain financing letters from their banks. We try to keep to a schedule and keep suitors engaged and invested in the process.

Finalizing the transaction - we will make certain that the seller has experienced legal representation, and the transaction is properly documented.
